HAUTE STOCK USAGE TERMS
ASSET LICENSE
TERMS OF MEMBERSHIP
These Terms of Membership and Digital Product Use (“Terms”) govern your use of all stock assets provided by Rachel & Co. Inc. (doing business as Haute Stock), whether accessed through a paid membership, a standalone digital product purchase, or free content distributed via newsletter subscription. By accessing or using the assets, you agree to be bound by these Terms.
If you have questions about any portion of these Terms, please contact us prior to using the assets.
LICENSE GRANT & SCOPE
Assets included in any Product (membership, standalone digital product, or free content) come with a non-exclusive, non-transferable, limited-use license. No ownership rights are transferred.
“Stock assets” include but are not limited to: images, stock photography, videos, templates, icons, backgrounds, graphics, styled mockups, and similar digital content provided by Haute Stock.
This license permits use of the stock assets as described below, subject to the restrictions outlined in these Terms. The license is granted to the individual or legal entity that purchased the Product and may not be shared, sold, sublicensed, or transferred without written consent.
Purchaser MAY:
✓ Use stock assets for personal or business purposes, both online and in print.
✓ Use stock assets on social media platforms, Pinterest, blog posts, and websites.
✓ Use stock assets in online advertising, including Facebook, Instagram, Pinterest, and YouTube ads.
✓ Resize, crop, apply filters, adjust colors, and change asset orientation.
✓ Overlay stock assets with text, website screenshots, product designs, or PDF designs.
✓ Use stock assets as backgrounds in presentations, webinars, and slideshows.
✓ Incorporate stock assets into opt-ins such as checklists, workbooks, PDFs, and eBooks—provided the assets are flattened, overlaid with text or graphics, cannot be extracted, and are not the primary focus of the download.
✓ Use assets across multiple businesses solely owned and operated by the licensed member.
✓ Use approved AI-assisted editing functionality made available directly through Haute Stock’s platform, subject to all AI-related restrictions and limitations contained in these Terms.
Purchaser MAY NOT:
🚫 Sell, loan, sublicense, transfer, share, make available for download, or give away the stock assets to any third party.
🚫 Share membership access or login credentials with any third party, including clients, customers, contractors, or business partners, without prior written consent from Haute Stock.
🚫 Use stock assets to create derivative products where the asset is the main design component, such as art prints, mugs, phone cases, calendars, screensavers, or clipart.
🚫 Use stock assets in client or customer work, even if modified, unless a Commercial License (e.g., Agency or Designer Plan) has been purchased.
🚫 Include stock assets in any product with resale rights (e.g., MRR, PLR, RR licenses).
🚫 Use stock assets for social media management services for clients/customers unless a Commercial License (e.g., Agency or Designer Plan) is held.
🚫 Include stock assets in editable templates (e.g., website themes, quote graphics, Canva templates) unless covered by a Designer Plan.
🚫 Use stock assets in eBooks or printed books for sale on Amazon or other mass distribution platforms without a Designer Plan.
🚫 Use stock assets for mass distribution, including content inside membership sites, print-on-demand services, or third-party design platforms.
🚫 Use stock assets in offensive, defamatory, illegal, or pornographic contexts.
🚫 Claim stock assets as your own, or register them as part of a trademark or copyright.
🚫 Transfer any copyright or usage rights to third parties.
🚫 Use Haute Stock assets to create or promote competing stock content platforms or digital asset services.
🚫 Use AI tools to alter, manipulate, recreate, generate, or materially modify a model’s facial features, body shape, skin tone, ethnicity, hair, or other identifying human characteristics.
🚫 Upload Haute Stock assets into third-party AI systems for the purpose of training, fine-tuning, improving, or developing artificial intelligence models or datasets.
🚫 Use AI-generated outputs to create competing stock photography libraries, stock asset platforms, or derivative commercial asset collections.
🚫 Use AI-assisted outputs in any deceptive, defamatory, unlawful, explicit, or misleading manner.
ARTIFICIAL INTELLIGENCE (AI) USE & RESTRICTIONS
Haute Stock may provide members with access to AI-assisted editing tools integrated into the Haute Stock platform or through approved third-party providers. Any AI-assisted modifications created from Haute Stock assets shall be deemed derivative works of the underlying copyrighted asset, and all ownership rights in the original asset shall remain exclusively with Rachel & Co. Inc. (Haute Stock). No ownership rights are transferred to the Purchaser through the use of AI-assisted tools.
AI-GENERATED CONTENT NOTICE
Portions of the photographic content displayed on this website may have been generated through the use of artificial intelligence (AI). AI-generated content is integrated to support artistic expression and is created using open-source tools and datasets. All such content will be clearly marked where applicable.
LEGAL CONSIDERATIONS
- All stock assets are protected by copyright, and ownership remains with Rachel & Co. Inc. (Haute Stock) or the original creator.
- Credit/attribution is not required but is always appreciated.
- Haute Stock makes no representations or warranties of non-infringement and does not guarantee that all assets have releases from brands, designers, or manufacturers whose trademarks, logos, or products may appear.
- Purchaser acknowledge and agree that Haute Stock is not liable for any claims, damages, or legal actions resulting from the use or modification of any stock assets.
- Purchaser further acknowledges and agrees that Haute Stock is not liable for AI-generated outputs, unintended AI alterations, fictionalized outputs, synthetic content, third-party AI behavior, or member-generated AI manipulations involving Haute Stock assets.
- Violation of these Terms may result in termination of your license and membership without refund, and may also result in legal action.
BREACH & ENFORCEMENT
Any unauthorized use of the stock assets constitutes a material breach of these Terms and may result in immediate termination of your license and access to the membership.
Upon breach, Haute Stock reserves the right to:
- Issue cease-and-desist notices;
- Invoice for unlicensed use at commercial licensing rates;
- Pursue damages, including lost licensing fees, legal costs, and enforcement fees;
- Seek injunctive relief or other equitable remedies in a court of law to prevent ongoing or future misuse;
- Report copyright infringement under the Digital Millennium Copyright Act (DMCA);
- Pursue all available legal and equitable remedies.
In any legal proceeding related to these Terms or the use of Haute Stock assets, the prevailing party shall be entitled to recover its reasonable attorneys’ fees and court costs in addition to any other relief awarded.
You further agree to indemnify, defend, and hold harmless Rachel & Co. Inc. (Haute Stock) and its affiliates from and against any claims, liabilities, damages, losses, or expenses (including attorneys’ fees) arising out of or in connection with your breach of these Terms.
You further agree to indemnify and hold harmless Rachel & Co. Inc. (Haute Stock), its affiliates, licensors, technology providers, AI providers, contractors, officers, employees, and agents from and against any claims arising out of or related to your use of AI-assisted editing tools, AI-generated outputs, prompts submitted into AI systems, derivative outputs, or any misuse of Haute Stock assets in connection with artificial intelligence technologies.
